Abstract

A goods delivery contract is a legal relationship that plays an essential role in business activities as it regulates the rights and obligations of the parties involved. However, in practice, the implementation of such contracts does not always run as agreed, which may result in breach of contract and legal disputes. This research aims to analyze juridically the forms of breach of contract and the legal consequences arising from the goods delivery agreement between PT. Kerta Gaya Pusaka and CV. Citra Perkasa Mandiri. The research method employed is normative juridical research using statutory, conceptual, and case approaches. The data used in this study are secondary data obtained through library research, including laws and regulations, legal literature, scientific journals, and relevant court decisions. The results indicate that a breach of contract in a goods delivery agreement may occur in the form of non-performance, improper performance, or delay in fulfilling contractual obligations. Such breaches give rise to legal consequences in the form of claims for performance, compensation for damages, or contract termination in accordance with civil law provisions. This study concludes that the settlement of breach of contract disputes in goods delivery agreements should prioritize legal certainty, justice, and a balance of rights and obligations between the parties to ensure orderly and sustainable legal relationships
